OFFICIAL RULES FOR THE RED ALL OVER – NIKE SOCCER CONTEST (“CONTEST”)
NO PURCHASE REQUIRED TO ENTER OR WIN. MUST BE A PERMANENT LEGAL U.S. RESIDENT TO ENTER.

If you are between 13 and 18 years old, you must have your parent/guardian's permission to use or post User Generated Content (“UGC”) to the Contest. You agree that your participation in this Contest is subject to the Terms of Use and Privacy Policy located at: http://www.nike.com/renov/nikestore/us/v1/us/en/info/privacy.jsp?item=terms.

1. Who is eligible?
This Contest is open only to legal permanent U.S. residents who are thirteen (13) or older as of March 17, 2011. Employees of NIKE USA, Inc., its parent company, NIKE, Inc., and the U.S. Soccer Federation, their subsidiaries and affiliates, or of other companies associated with the promotion of the Contest, as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee are not eligible.

2. Who is sponsoring the Contest?
The Contest is sponsored by NIKE USA, Inc., One Bowerman Drive, Beaverton, Oregon 97005 and U.S. Soccer Federation, 1801 South Prairie Avenue, Chicago, Illinois 60616-1319 (collectively “Sponsor”). Sponsor reserves the right to modify or cancel this promotion at any time. In the event of cancellation, and at Sponsor’s sole discretion, Sponsor may substitute another promotion in its place.

3. How do I enter?
The Contest starts on or about 8:00 am (ET) on March 17, 2011 and ends at 12:00 pm (PT) on March 23, 2011 (the “Entry Period”). During the Entry Period, submit your new team motto (“Submission”) for the U.S. Men’s National Team (“USMNT”) Kit by tweeting your suggested motto to Twitter plus #redallover. You may enter as many times as you like. Your Submission must conform to the Submission Requirements and Guidelines in Section 4 below. Your Submission must be your own work, entirely original and must not have been entered in any other competition or violate the rights of other parties and may not be offensive or defamatory, as determined by the Sponsor. Sponsor may choose to accept or reject your Submission based on its sole judgment. All entries become the property of Sponsor and will not be acknowledged or returned.

4. Submission Requirements and Guidelines.

Content Restrictions: The Submission must NOT contain:

  • Material that violates or infringes another's rights, including but not limited to privacy, publicity or intellectual property rights; 
  • Images and/or artwork that that are copyrighted, trademarked, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to post the material; 
  • Material that is hateful, tortious, defamatory, slanderous or libelous; 
  • Material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, age or any other basis protected by federal, state, or local law, ordinance, or regulation; and 
  • Material that is unlawful, in violation of or contrary to the laws or regulations in any state where the Submission is created.

Your Submission is not confidential or proprietary. You grant, and warrant that you have the right to grant, to Sponsor a non-exclusive, non-revocable, worldwide, transferable, royalty-free, perpetual right to use your Submission in any manner or media now or later developed, for any purpose, commercial, advertising, or otherwise, including the right to translate, display, reproduce, change, create derivative works, sublicense, distribute, assign and commercialize without any payment due to you.

Any Submission that includes content that is deemed inappropriate, indecent, and obscene or otherwise does not comply with the Submission Requirements and Guidelines, as determined by Sponsor in its sole discretion, will not be eligible and may be removed from the Contest at Sponsor’s sole discretion

5. How will winners be selected?
On or about March 23, 2011, the Sponsor will select one (1) potential winner based on the merit of creativity and inspiration displayed in their motto for the USMNT. Judges will be representatives from both the U.S. Soccer Federation and Nike. The winner will be notified via @reply calling out their twitter handle with instructions to direct message @nikesoccer for details. Winner must respond within 6 hours or an alternative winner will be selected using the same method above. Decisions of Sponsor and judge are final and binding in all respects, and by participating, entrant agrees to be bound by the Official Rules and the Sponsor’s and judges’ decisions.

6. What can I win?
One (1) winner will receive one (1) USMNT Red Kit with their winning motto and the honor of having their winning motto on the U.S. Men’s National Team Kit.
Total approximate retail value (“ARV”): $150

Any prize details not specified above will be determined by the Sponsor in its sole discretion. Prizes are not transferable and must be accepted as awarded. No cash or other substitution may be made, except by the Sponsor, who reserves the right to substitute a prize with another prize of equal or greater value if the prize is not available for any reason as determined by the Sponsor in its sole discretion.

7. What may a potential winner be required to do?
Except where prohibited, a potential winner may be required to complete and return an executed Declaration and Release and/or tax form W-9, if applicable, within five (5) days of being notified. If a potential winner declines to accept the prize, has violated any of these Official Rules, or fails to sign and return the required documents within the required time period, then an alternate entrant may be selected, at Sponsor’s and judges’ discretion. If a potential winner is a minor (as determined by Sponsor), his/her parent or legal guardian will be required to sign the required documents on the potential winner’s behalf.

8. What other terms should I be aware of?
Unless prohibited by law, entrants agree to allow use of their name, voice, city/state of residence, photograph, and/or likeness for advertising and/or trade and/or any other purpose in any media or format now or hereafter known without further compensation, permission or notification.

The Contest is subject to federal, state, and local laws and regulations and is void where prohibited by law. In the event that the operation, security, or administration of the Contest is impaired in any way for any reason, including, but not limited to fraud, virus, or other technical problem, the Sponsor may, in its sole discretion, either: (a) suspend the Contest to address the impairment and then resume the Contest in a manner that best conforms to the spirit of these Official Rules; or (b) award the prize based on the judges’ decision from among the eligible entries received up to the time of the impairment. The Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, the Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Failure by the Sponsor to enforce any term of these Official Rules shall not constitute a waiver of that provision.

By participating in the Contest, entrants agree to release and hold harmless the Sponsor, its parent and related companies, and their respective officers, directors, employees, and agents (the “Released Parties”) from and against any claim or cause of action arising out of participation in the Contest or receipt or use of any prize, including, but not limited to: (a) unauthorized human intervention in the Contest; (b) technical errors related to computers, servers, providers, or telephone or network lines; (c) printing errors; (d) lost, late, postage-due, misdirected, or undeliverable mail; (e) errors in the administration of the Contest or the processing of entries; or (f) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Contest or receipt or use of any prize. Entrant further agrees that in any cause of action, the Released Parties’ liability will be limited to the cost of participating in the Contest, and in no event shall the Released Parties be liable for attorney’s fees. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.

9. How will disputes be handled?
Except where prohibited, entrant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the State of Oregon. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrant’s rights and obligations, or the rights and obligations of the Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of Oregon, without giving effect to any choice of law or conflict of law rules (whether of the State of Oregon or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Oregon.

10. How can I find out who won?
To obtain the name of the winners, send a self-addressed stamped envelope to: Red All Over Contest, Attn: Ian Shepherd, NIKE, Inc., One Bowerman Drive, Beaverton, OR 97005. Requests must be received within four (4) weeks of the conclusion of the Entry Period. Residents of the State of Vermont may omit return postage.
